Terms of Service for reWearwolf

Effective Date: July 31, 2025

1. Acceptance of Terms

By accessing or using the reWearwolf mobile application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

reWearwolf is a consignment service that:

• Accepts items from users for consignment
• Lists and manages sales of consigned items on various platforms (Poshmark, Depop, eBay, etc.)
• Handles the selling process on behalf of users
• Provides users with visibility into their consigned inventory

3. User Accounts

Account Creation

• You must provide accurate and complete information
• You must be at least 13 years old to use our Service
• You are responsible for maintaining the confidentiality of your account

Account Responsibilities

• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized use
• We reserve the right to terminate accounts that violate these Terms

4. Consignment Terms

Item Submission

• Items must be authentic and legally owned by you
• Items must meet our quality and condition standards
• We reserve the right to reject items that don't meet our criteria
• You grant us the right to photograph and list your items

Ownership and Authorization

• You retain ownership until items are sold
• You authorize us to list and sell items on your behalf
• You grant us power of attorney to act as your selling agent
• We may list items on multiple platforms simultaneously

Pricing and Sales

• We determine listing prices based on market conditions
• We may adjust prices to optimize sales
• You will be notified of significant price changes
• Sales are final once completed on third-party platforms

5. Fees and Payments

Commission Structure

• We charge a commission on successful sales (percentage to be determined)
• Commission is deducted from sale proceeds
• Additional fees may apply for premium services

Payouts

• Payouts are processed after items sell and payment is received
• Payout schedules and methods will be communicated separately
• You are responsible for providing accurate payment information

6. User Content and Conduct

Content Guidelines

When submitting items, you agree:

• Not to submit counterfeit or stolen goods
• To provide accurate item descriptions
• To disclose all known defects or issues
• Not to submit prohibited items (weapons, hazardous materials, etc.)

7. Intellectual Property

Your Content

• You retain ownership of items until sold
• You grant us license to photograph and market your items
• We may use item photos for marketing purposes

Our Property

• The reWearwolf name, logo, and design are our property
• You may not use our intellectual property without permission

8. Privacy

Your use of our Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Service and informs users of our data collection practices.

9. Prohibited Activities

You agree not to:

• Submit stolen or counterfeit items
• Provide false information about items
• Attempt to circumvent our consignment process
• Use the Service for any illegal purpose
• Create multiple accounts to evade restrictions

10. Disclaimers

Service Performance

• We strive to sell items but do not guarantee sales
• Market conditions affect sale timing and prices
• We are not responsible for market fluctuations

Third-Party Platforms

• We are subject to the terms of platforms where we list
• Platform policies may affect your items
• We are not responsible for platform actions

11. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our liability is limited to the value of unsold items in our possession
• We are not liable for market conditions affecting sales

12. Indemnification

You agree to indemnify and hold harmless reWearwolf and its affiliates from any claims arising from:

• Items you submit for consignment
• Your violation of these Terms
• Claims of ownership disputes

13. Return of Items

• You may request return of unsold items (shipping fees may apply)
• Items not claimed within specified timeframes may be donated
• We will communicate item return policies separately

14. Termination

• Either party may terminate this agreement
• Upon termination, unsold items will be returned or disposed of per our policies
• Outstanding payouts will be processed per our standard schedule

15. Governing Law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes. Your continued use of the Service after changes constitutes acceptance of the new Terms.

18. Entire Agreement
